Overview
US-listed bitcoin miner and data centre operator Core Scientific, Inc. (Nasdaq: CORZ) retains its independence after shareholders voted down a proposed all-stock acquisition by CoreWeave. The merger agreement, signed on 7 July 2025 and valued at approximately $9 billion, would have transferred Core Scientific's roughly 1.3 GW of data centre capacity to CoreWeave. However, on 30 October 2025, shareholders rejected the deal, prompting immediate termination of the agreement. Opposition was spearheaded by Two Seas Capital, which identified itself as the largest active shareholder and criticised the sale process, deal structure and valuation. Institutional Shareholder Services also recommended a vote against the merger, asserting that Core Scientific was sufficiently successful to operate independently. Core Scientific continues to trade on Nasdaq under the ticker CORZ, and CoreWeave has stated it will maintain its commercial partnership with the company.
